Terms and Conditions of the Megan Mae Miami Model Search for Miami Swim Week/The Shows

THESE TERMS AND CONDITIONS (THE “TERMS”) CONTAIN A RELEASE OF LEGAL RIGHTS. PLEASE READ IT CAREFULLY AND BE CERTAIN YOU UNDERSTAND IT BEFORE AGREEING AND SUBMITTING AN ENTRY TO THE CONTEST.

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN THE CONTEST. THE CONTEST IS ONLY OPEN TO WOMEN WHO ARE 18 YEARS OF AGE OR OLDER AT THE TIME OF THEIR ENTRY. SEE FULL ELIGIBILITY RESTRICTIONS BELOW. VOID WHERE PROHIBITED OR OTHERWISE RESTRICTED BY APPLICABLE LAW.

By submitting an entry to the “Megan Mae Miami Model Search for Miami Swim Week/The Shows” (the “Contest”), you accept and unconditionally agree to be bound by these Terms. Megan Mae Miami is a registered trademark owned and used by Megan Mae Beauty Products LLC, a Delaware limited liability company (Megan Mae Miami and Megan Mae Beauty Products LLC, and their members, managers, employees, agents, affiliates, successors and assigns, are collectively referred to herein as “Megan Mae”). Megan Mae will choose up to 10 finalists who will be selected to walk in Miami Swim Week/The Shows and notified in accordance with these Terms. Megan Mae reserves the right to modify the Contest rules and these Terms at any time without prior notice to the contestants. Any violation of the Terms may, at Megan Mae’s sole discretion, result in disqualification. All decisions of Megan Mae pertaining to the Contest are final and binding in all respects.

CONSUMER DISCLOSURE: THIS IS AN ENTRY ONLY, AND YOU UNDERSTAND THAT YOU HAVE NOT WON ANYTHING BY ENTERING THE CONTEST. WINNING THE CONTEST IS NOT SUBJECT TO RANDOM CHANCE. THE CHANCES OF BEING SELECTED DEPEND ON THE NUMBER OF ENTRIES AND THE JUDGING CRITERIA FOR EACH ROUND.

• Eligibility. To enter you must be a woman who is eighteen (18) years of age or older on the date that you submit your entry to the Contest. You must also be at least eighteen years of age in all media submitted by you in relation to the Contest. Employees, representatives, and agents of Megan Mae or Miami Swim Week/The Shows, and their respective parent companies, subsidiaries, affiliates, and their advertising and production companies, and any family member or person of any of the foregoing are ineligible to participate.
• Disqualification. Megan Mae reserves the right to disqualify you from the Contest for any reason or no reason whatsoever at its sole discretion.
• Media 
  • Submissions. All photographs, images, videos, or other media, whether in print or digital format (collectively “Media”), submitted in connection with the Contest must not have been altered by software or other means of enhancement and must be suitable for publication. Media must not infringe or violate the rights of any third parties, including but not limited to copyrights, rights of publicity, or rights of privacy. If you use a third-party photographer, please make sure that you have the right to submit any Media created by such photographer. Any Media that is considered pornographic or inappropriate, at Megan Mae’s sole discretion, will be rejected. False, deceptive or incomplete entries or other information provided will render your entry to the Contest ineligible regardless of when the problem is actually discovered.
  • Right to Use. By submitting any Media, you grant Megan Mae and its representatives and agents an irrevocable, perpetual, and worldwide license to edit, alter, copy, exhibit, publish, or distribute the Media in any way, without limitation or consideration to you, and you waive any right to inspect or approve the finished product or copy that may be used in connection with the Media. You further grant Megan Mae and its representatives and agents the right to charge others for the use of any Media, to earn fees and to share all Media, and you waive any right you may have to royalties or other compensation arising from or related to the use of the Media.
  • Release. You hereby hold harmless, release, and forever discharge Megan Mae from all claims, demands, and causes of action which you, your heirs, representatives, executors, administrators, or any other persons acting on your behalf or on behalf of your estate have or may have relating to, or arising from, the use of the Media.

• Contact. Megan Mae reserves the right to contact you for any reason in connection with the Contest, including to request resubmission of any Media or to request that you submit additional Media. Submission of Media and entry in the Contest constitutes your consent to these Terms and the use of the Media by Megan Mae as it sees fit and in any medium it wishes. By entering into the Contest, you represent and warrant that you own or control all necessary rights in the Media submitted.
• Contest Rounds. The Contest will consist of two (2) rounds. The first round will consist of receiving applications. The second round will consist of video submissions by up to 100 contestants selected by Megan Mae. 20 of these contestants will then be interviewed on a short zoom call to identify up to 10 finalists to walk in the show.
• Round One. To enter, you must submit an online application, providing your name, Instagram handle, city and state, and email address. An announcement on Instagram will direct you to the web address at which to submit your application. You must submit two (2) photographs with your application: one (1) head shot and one (1) bikini picture. You must also post both photographs to your Instagram page and tag and follow @meganmaemiami and @meganmaestevens. Only one (1) entry per person will be accepted; all subsequent entries will be disregarded.
• Round Two. If you are notified that you have been selected for round two by email, you must submit a link to a video showing your “runway walk” in a bikini within three (3) days of being notified of your selection for round two. The video must not exceed 20 seconds in length. You must also post the video to your Instagram page and tag @meganmaemiami and @meganmaestevens. Megan Mae will schedule brief zoom interviews with up to 20 of the round two contestants and select up to ten (10) finalists to walk in the show. You will be notified by email if you have been selected as a finalist within two (2) days following the zoom interviews.
• Availability. Each finalist must be available to walk for Megan Mae Miami at Miami Swim Week/The Shows on Saturday, June 1^st, 2024. If a finalist is not available, an alternate contestant may be selected, time permitting. If you are selected as a finalist, you consent to the use of your name, photos, and likenesses for all purposes in connection with the Megan Mae brand, and Miami Swim Week/The Shows, in any and all media known or hereinafter discovered without territorial or time limitations and without compensation, except where prohibited. If you are selected as a finalist, you may be required to execute a liability and publicity release, and other documents reasonably required by Megan Mae. You understand and agree that Megan Mae has the right, in its sole discretion, to disqualify and remove you from any activity at any time if Megan Mae determines that your behavior is disruptive, inappropriate, or may cause damage to persons, property, or the reputation of Megan Mae.
• Travel Costs. If you are selected as a finalist, you are responsible for organizing and paying for your own travel and lodging for the show. You understand and agree that Megan Mae is not required to, and will not pay for, any travel costs, nor will Megan Mae arrange any travel for you to attend and walk for Megan Mae at Miami Swim Week/The Shows.
• Jurisdiction and Conduct. By entering the Contest (i) you agree that all issues and questions concerning the construction, validity, interpretation, and enforceability of these Terms, your rights and obligations, or the rights and obligations of Megan Mae in connection with the Contest, will be governed by, and construed in accordance with, the laws of the State of Florida, without giving effect to any choice of law or conflict of law terms, and (ii) you irrevocably consent to the exclusive jurisdiction and venue of the federal, state, and local courts located in Miami-Dade County, Florida. Failure to comply with these Terms may result in your disqualification. Megan Mae and you agree to waive any rights to a jury trial in connection with any disputes and/or litigation arising hereunder. You understand and agree that Megan Mae has the right, in its sole discretion, to disqualify and remove you from any activity in connection with the Contest at any time if Megan Mae determines that your behavior is disruptive, inappropriate, or may or does cause damage to persons, property, or the reputation of Megan Mae.
• DISCLAIMER AND RELEASE OF LIABILITY. MEGAN MAE, AND THEIR SHAREHOLDERS, MEMBERS, MANAGERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS, ARE NOT RESPONSIBLE FOR ANY INCORRECT OR INACCURATE ENTRY INFORMATION, HUMAN ERROR, TECHNICAL MALFUNCTION, FAILURES, OMISSION, INTERRUPTION, DELETION, OR DEFECT OF ANY TELEPHONE NETWORK, COMPUTER ONLINE SYSTEMS, COMPUTER EQUIPMENT, SERVERS, ACCESS PROVIDERS, OR SOFTWARE, INCLUDING ANY INJURY OR DAMAGE TO CONTESTANTS OR ANY OTHER PERSONS’ COMPUTER RELATING TO OR RESULTING FROM PARTICIPATION IN THE CONTEST; INABILITY TO ACCESS THE WEBSITE OR ANY PAGES THEREOF; THEFT; TAMPERING; DESTRUCTION; OR UNAUTHORIZED ACCESS TO, OR ALTERATION OF ENTRIES; ENTRY SUBMISSIONS THAT ARE PROCESSED LATE OR INCORRECTLY OR ARE INCOMPLETE, GARBLED, OR LOST DUE TO COMPUTER OR ELECTRONIC MALFUNCTION OR TRAFFIC CONGESTION ON THE INTERNET OR ANY WEBSITE. PROOF OF ENTERING INFORMATION ON THE WEBSITE IS NOT CONSIDERED PROOF OF DELIVERY OR RECEIPT. ALL DATES SET FORTH IN THESE OFFICIAL TERMS ARE APPROXIMATE. MEGAN MAE RESERVES THE RIGHT TO EXTEND ANY DEADLINES. ALL ENTRIES AND ANY OTHER MATERIALS SUBMITTED (INCLUDING BUT NOT LIMITED TO PHOTOGRAPHS AND VIDEOS) BECOME THE SOLE PROPERTY OF MEGAN MAE AND WILL NOT BE RETURNED OR ACKNOWLEDGED. FALSE AND/OR DECEPTIVE ENTRIES OR ACCOUNTS WILL RENDER AN ENTRY INELIGIBLE. ALL DECISIONS OF MEGAN MAE ARE FINAL AND CONCLUSIVE ON ALL MATTERS RELATING TO THE CONTEST.

ALL CONTESTANTS AND FINALISTS HEREBY AGREE TO RELEASE, DEFEND, INDEMNIFY, AND HOLD HARMLESS MEGAN MAE, AND THEIR SHAREHOLDERS, MEMBERS, MANAGERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS, FROM AND AGAINST ANY AND ALL LIABILITY WITH RESPECT TO, OR IN ANY WAY ARISING FROM, IN WHOLE OR IN PART, DIRECTLY OR INDIRECTLY, THE CONTEST, PUBLICATION OR USE OF THE MEDIA OR ADDITIONAL PHOTOGRAPHS OR VIDEOS, CONTESTANTS’ NAMES AND LIKENESSES, INCLUDING LIABILITY FOR PERSONAL INJURY, DEATH, DAMAGES, OR MONETARY LOSS.

IN NO EVENT WILL MEGAN MAE AND ITS SHAREHOLDERS, MEMBERS, MANAGERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS BE LIABLE OR OBLIGATED TO A CONTESTANT, FINALIST, OR ANY THIRD PARTY IN ANY MANNER FOR ANY SPECIAL, INCIDENTAL, EXEMPLARY, CONSEQUENTIAL, PUNITIVE, OR INDIRECT DAMAGES OF ANY KIND, REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT, NEGLIGENCE, STRICT PRODUCT LIABILITY, OR OTHERWISE, EVEN IF INFORMED OF THE POSSIBILITY OF ANY SUCH DAMAGES IN ADVANCE. THIS SECTION WILL APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW AND NOTWITHSTANDING THE FAILURE OF ANY LIMITED REMEDY.

All causes of action arising out of or connected with this Contest, must be resolved individually, without resort to any form of class action; and any and all claims, judgments, and award will be limited to actual out-of-pocket costs incurred, excluding attorneys’ fees and court costs.
